Terms of Service

1. Acceptance of Terms

By signing up for, accessing, or using the reitexter application and services provided by Ironclad Apps LLC("reitexter," "we," "us," or "our") at reitexter.com ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

reitexter is a messaging and calling platform that allows users to:

• Buy and register phone numbers, and send and receive text messages and calls from them
• Maintain a list of contacts, organised into groups with custom fields
• Send scheduled and recurring campaigns and bulk messages to those contacts
• Configure automatic replies, saved templates, and an optional AI receptionist that answers calls and texts
• Review the history of messages and calls sent and received
• Collaborate with team members on paid plans

The Service is provided on an "as-is" and "as-available" basis. We reserve the right to modify or discontinue the Service (or any part thereof) at any time with reasonable notice.

3. Eligibility

In order to use the Service, you must:

1. Be at least 18 years old or the age of majority in your jurisdiction.
2. Have the legal capacity to enter into binding contracts.
3. Provide accurate, current, and complete registration information.
4. Ensure that your use of the Service complies with all applicable laws and regulations.
5. Not be prohibited from using the Service under any applicable laws.

4. Account Registration and Security

Account Creation: You must create an account to access the Service. reitexter is a Customer Relationship Management (CRM) platform where all features and data are inherently account-specific. Account registration is required because:

• All of your data — contacts, message and call history, recordings, and templates — belongs exclusively to your account
• Your subscription is tied to your account for access across all your devices
• Team collaboration requires user identity for access control
• Data security requires authentication to protect your business information

You agree to provide accurate, current, and complete information during registration and keep your account information updated.

Account Security: You are responsible for safeguarding your password and maintaining the security of your account. You agree not to disclose your password to any third party.

Unauthorized Access: You must immediately notify us at support@reitexter.com of any unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized access that results from your failure to safeguard your credentials.

5. Subscription Plans and Fees

Free Trial: New users may be eligible for a 14-day free trial. No credit card is required for the trial period.

Subscription Plans: We offer the following subscription plans:

• Core ($99.99/month): For individual professionals — 1 user seat; message rate of $0.004 per SMS segment
• Scale ($199.99/month): For growing businesses with up to 5 team members; message rate of $0.0035 per SMS segment
• Max ($299.99/month): For larger teams with up to 15 members; message rate of $0.0029 per SMS segment

Account Balance: Each billing period, the full subscription fee is credited to your account’s prepaid balance as usage credit. Usage — including message segments at your plan’s rate, phone number rental at $10.00 per number per month, carrier registration fees, and other metered services — is deducted from this balance at the rates published on our pricing page. Unused balance carries forward while your subscription remains active; balance credit has no cash value and is not redeemable for cash.

Payment Information: You must provide valid payment information. By providing payment information, you authorize us to charge the applicable subscription fees.

Automatic Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

Refunds: All fees are non-refundable unless otherwise required by law or stated in writing.

6. Payment Processing

How you pay: Subscriptions are purchased and billed through the Apple App Store or Google Play, and are governed by that store's terms in addition to these. Message and call usage is drawn from a prepaid balance you fund in advance, also through the store.

Data Security: reitexter does NOT collect, process, or store credit card numbers, bank account numbers, or any other payment instrument. We never see them. The store handles the transaction and tells us only that a purchase occurred, so what we retain is the purchase record itself — what was bought, when, and for how much.

Balance: Your prepaid balance is a credit toward usage of the Service, not a deposit and not stored value. It is not transferable and cannot be redeemed for cash. A message that fails to send is credited back.

7. User Responsibilities

Compliance: You agree to use the Service in compliance with all applicable laws, regulations, and these Terms.

Content: You are solely responsible for all content you upload, post, or otherwise transmit via the Service, including your contact list and the content of the messages you send.

Prohibited Activities: You agree not to:

• Use the Service for any illegal purpose
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Impersonate any person or entity
• Collect user data without consent
• Use the Service to send spam or unsolicited communications

8. Content and Data Ownership

Your Content: You retain ownership of all content you submit to the Service, including customer data, business information, and documents. You grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely to provide the Service.

Data Protection: We will maintain appropriate administrative, physical, and technical safeguards to protect the security, confidentiality, and integrity of your data as described in our Privacy Policy.

Data Export: You may export your data at any time through the Service.

9. Intellectual Property Rights

Our Content: Ironclad Apps LLC retains all rights, title, and interest in and to the Service, including all related intellectual property rights, trademarks, and trade secrets.

Restrictions: You agree not to copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of any part of the Service or included software.

10. Third-Party Services

The Service integrates with third-party services including but not limited to:

• The Apple App Store and Google Play (subscription and prepaid-balance purchases — they handle all payment data; we never see it)
• Telecommunications carriers and their registries, for sending messages and calls and for the brand and campaign registration that permits it
• Email service providers

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, practices, or availability of third-party services.

11. SMS/Text Messaging Program Terms

Ironclad Apps LLC offers an optional SMS text messaging program. The SMS program is completely voluntary, entirely separate from the reitexter Service, and governed by the following terms. By opting in to the SMS program, you agree to these terms.

Consent Is Voluntary and Not Required: Opting in to receive SMS text messages from Ironclad Apps LLC is completely voluntary. Consent to receive SMS messages is not a condition of purchasing any goods or services, completing any transaction, creating a reitexter account, or using any feature of the reitexter platform. You may create an account, subscribe to any plan, and use every feature of reitexter without ever opting in to SMS messaging. Declining to opt in will not affect your access to or use of the Service in any way.

Sole Opt-In Method: The only way to opt in to receive SMS messages from Ironclad Apps LLC is by visiting our dedicated SMS opt-in page at reitexter.com/sms-opt-in, entering your mobile phone number, affirmatively checking an unchecked consent checkbox, and submitting the form.

Program Description: If you opt in, you may receive recurring automated SMS text messages from reitexter Ltd consisting of promotional offers, product updates, and company news. Messages are sent from Ironclad Apps LLC.

Message Frequency: Message frequency varies. You may receive up to 4 messages per month.

Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier and plan. Ironclad Apps LLC is not responsible for any charges imposed by your wireless carrier.

Opting Out (STOP): You may opt out of receiving SMS messages at any time by replying STOP to any SMS message you receive from Ironclad Apps LLC. After replying STOP, you will receive one final confirmation message and will receive no further SMS messages from us unless you re-subscribe through our opt-in page. Opting out of SMS will not affect your ability to use reitexter or any of its features.

Help (HELP): For assistance with SMS messaging, reply HELP to any reitexter SMS message, email support@reitexter.com.

Carrier Disclaimer: Carriers are not liable for delayed or undelivered messages. reitexter does not guarantee delivery of SMS messages and is not responsible for messages that are not delivered due to carrier issues or device incompatibility.

Supported Carriers: SMS messaging is supported on major U.S. carriers. Service may not be available on all wireless carriers or devices.

12. Apple App Store Terms

If you access reitexter through our iOS mobile application downloaded from the Apple App Store, the following additional terms apply:

In-App Purchases: Subscriptions purchased through the iOS app are processed by Apple. Payment will be charged to your Apple ID account at confirmation of purchase.

Automatic Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

Managing Subscriptions: You can manage and cancel subscriptions by going to your Account Settings on your device after purchase.

Apple as Third-Party Beneficiary: Apple is a third-party beneficiary of these Terms and may enforce these Terms against you. Apple has no obligation to furnish maintenance and support services with respect to the App.

13. Disclaimers and Limitation of Liability

Disclaimers: THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRONCLAD APPS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless reitexter Software Ltd and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use or misuse of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

By You: You may cancel your subscription and terminate your account at any time through the Service or by contacting us at support@reitexter.com.

By Us: We may suspend or terminate your access to the Service immediately if you violate these Terms or engage in conduct that we determine is harmful to the Service or other users.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will retain your data for a reasonable period to allow you to export it, after which it may be deleted.

16. Changes to the Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Service, updating the "Last Updated" date, and/or sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

17. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

Dispute Resolution: Any disputes arising out of or related to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

18. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ironclad Apps LLC regarding the Service.

Severability: If any provision of these Terms is held invalid or unenforceable, the remainder shall continue in full force.

Waiver: Our failure to enforce any right or provision shall not constitute a waiver of future enforcement.

Assignment: You may not assign or transfer these Terms without our prior written consent.
